CODELCO, as a global leader in the mining industry, acts as the organizer of the open innovation challenge and owner of the two innovation challenges that will be published on the Swedish Mining Innovation (SMI) website. CODELCO’s objective is to identify innovative technological solutions that contribute to the improvement of its mining operations and processes, in order to maintain its position as a key player in the global mining sector.

In this context, CODELCO will receive support from Swedish Mining Innovation (SMI), which will facilitate access to the Swedish innovation and technology ecosystem. SMI will act solely as an innovation network facilitator for this challenge, with no responsibility for the terms and conditions, or for any future business agreements, contracts, or similar, which are the sole responsibility of CODELCO and the participants in the challenge.

The participation process will enable CODELCO to identify technologies and solutions that align with its needs. If solutions of interest are found, CODELCO will be responsible for establishing the terms of engagement directly with the owners or proposers of the solutions. These solutions will be evaluated based on their technological maturity among other parameters, and CODELCO will determine the viability of each one according to its own criteria and operational needs.

By participating in this challenge, participants acknowledge and understand the role of Swedish Mining Innovation as the facilitator of the innovation network, with no responsibility for business agreements or terms, which will be defined by CODELCO directly with the selected proposers.

English Version Terms & Conditions (T&C)
Open Innovation Challege SMI-CODELCO

These Terms & Conditions outline the terms and conditions of the Innovation Challenge, from the receipt of applications to the selection of solutions. The selected solutions for piloting or co-development must negotiate the terms of the relationship directly with Codelco.

I. GUIDING PRINCIPLES OF THE INNOVATION CHALLENGE

Proponents (i) must provide reliable, truthful, and transparent information; and (ii) ensure privacy, responsible use of data, transparency in how data is obtained, processed, stored, and shared if the solutions are data-driven.

II. INTELLECTUAL PROPERTY

The assignable results derived from the execution of the project, as well as all the information, inventions, technological innovations, procedures, plans, and other documents, shall belong to the beneficiary and/or the other participants in accordance with what they have stipulated. Consequently, it will be the responsibility of the beneficiaries and other participants to protect the eventual creations, patentable inventions, or ownership rights over the project results in the corresponding registers.

Notwithstanding the above, CODELCO will promote the broadest possible dissemination of the project results, provided that such dissemination does not affect the protection of intellectual property or undisclosed intellectual property rights.


By merely participating in the Innovation Challenge, applicants declare that their application does not in any way affect the intellectual property rights of third parties, releasing the organization and CODELCO, its partners and associates in this contest, as well as its employees, workers, and any other under its dependency from any liability for third-party claims on this matter.

Therefore, the participant guarantees under their exclusive responsibility that the content of the application information is of their original creation, or that they have the necessary authorizations to use said information and results. Similarly, the participant agrees to assume full responsibility, including indemnifications, for any damage arising from third-party claims. In case of failure to comply with the commitments assumed in these T&C, the participant will be liable for all damages and losses that their actions or omissions may cause to CODELCO and the institutions associated with this Innovation Challenge.


III. COMUNICATIOS/DISSEMINATION/BROADCASTING

Applicants expressly agree that the videos and documents generated as a result of the Innovation Challenge may be made available to the public without additional compensation from the organization. Therefore, they grant the organization a license to use such material without restrictions and on a permanent basis.

IV. ACCEPTANCE OF THE TERMS
Any company, whether individually or as part of a participating team, declares that they have read and accepted these T&C at the time of submitting their application, submitting themselves to all provisions of each explicit section of this document.

Las presentes Términos & Condiciones estipulan los términos y condiciones de la convocatoria, desde la recepción de postulaciones hasta la selección de las soluciones. Las soluciones seleccionadas para pilotear o co-desarrollar, deberán negociar las condiciones de relacionamiento directamente con Codelco.


I. PRINCIPIOS RECTORES DE LA CONVOCATORIA
Los proponentes deben: (i) entregar información fidedigna, veraz y transparente; y (ii) asegurar privacidad, uso responsable de los datos, transparencia en cómo los datos son obtenidos, procesados, almacenados y compartidos, si las soluciones están basadas en datos.

II. PROPIEDAD INTELECTUAL
Los resultados apropiables derivados de la ejecución del proyecto, así como toda la información, inventos, innovaciones tecnológicas, procedimientos, planos y demás documentos, pertenecerán al beneficiario y/o a los otros participantes conforme a lo que éstos hayan estipulado. En consecuencia, les corresponderá a los beneficiarios y demás participantes amparar en los registros correspondientes las eventuales creaciones, invenciones patentables o los derechos propietarios sobre los resultados del proyecto.

Sin perjuicio de lo señalado, CODELCO promoverá la mayor difusión posible de los resultados del proyecto, en la medida que dicha difusión no afecte la protección de propiedad intelectual, ni los derechos de propiedad intelectual no divulgados.

Por el solo hecho de participar de la convocatoria, los postulantes declaran que su postulación no afecta de modo alguno los derechos de propiedad intelectual de terceros, liberando desde ya a la organización, y a CODELCO, sus socios y asociados en este certamen, así como a sus trabajadores, empleados y cualquier otro bajo su dependencia de cualquier responsabilidad por los reclamos de terceros sobre esta materia.

Por lo tanto, el participante garantiza bajo su exclusiva responsabilidad que el contenido de la información de postulación es de su creación original, o bien cuenta con las autorizaciones respectivas para hacer uso de dicha información y resultados. Del mismo modo, el participante se obliga a asumir toda la responsabilidad, incluyendo indemnizaciones respecto de todo y cualquier daño derivado de reclamaciones de terceros.

En caso de incumplimiento a los compromisos asumidos en estas Bases de Participación, el participante responderá de todos los daños y perjuicios que sus actos u omisiones pudieran.
